Private-company equity: prepare without assuming an exit

A Triangle employee’s guide to share restrictions, uncertain liquidity, and questions to raise before a proposed transaction.

Private-company equity can remain illiquid long after it appears valuable on a statement. For employees in Research Triangle Park and the wider Raleigh–Durham area, preparation means understanding the rights actually held and the cash needs that exist regardless of an exit. An acquisition, tender offer, or public offering is a possibility to evaluate if real terms emerge, not a promised source of money.

Identify the asset and the meaning of its value

Separate an unexercised option, an unsettled RSU, and shares already owned. Each describes a different position. Record the relevant award or share class, the number held, conditions still outstanding, and the source and date of any valuation. A number shown in a portal does not establish that someone will buy your shares at that price.

Ask what information is available about the rights attached to your shares and how a proposed transaction would treat them. A headline company valuation is not an individualized proceeds calculation. If the documents refer to preferences, conversion, cancellation, or other unfamiliar terms, ask appropriate counsel to explain their effect instead of extrapolating from another shareholder’s outcome.

Separate permission to sell from finding a buyer

Investor.gov explains that restricted securities can be subject to legal resale conditions and restrictive legends. An agreement may add transfer limits or approval requirements. Ask the company and legal counsel which restrictions apply to your specific holdings and what process would be required. The passage of time alone is not a reliable sale authorization.

Even a legally permitted transfer needs a buyer and workable terms. Do not assume a secondary-market indication is executable or that a company will offer a repurchase. Investor.gov also explains that IPO lockups can restrict employee sales after a public offering. A listing announcement and immediate access to sale proceeds are different events.

Keep the household plan independent of an exit date

Identify spending commitments, reserves, and goals that would need funding if no transaction occurred. An expected exit should not silently become the only funding source for a home purchase or a career break. Consider the effect of losing employment income while the shares remain unavailable or fall in value; FINRA treats illiquidity and concentration as related planning risks.

For options, distinguish any purchase cost from possible taxes and from later sale proceeds. IRS guidance explains that statutory and nonstatutory options can have different tax consequences, including possible alternative minimum tax issues for ISOs. That distinction warrants grant-specific tax analysis; it does not establish whether or when an employee should exercise.

Use actual transaction documents when they exist

If a real liquidity opportunity is announced, obtain the official materials through approved company channels. Ask which holdings are eligible, whether participation is optional, what approvals and response dates apply, and whether proceeds could include noncash consideration, fees, or amounts not immediately payable. Treat those as open questions until the governing documents answer them.

Have your tax professional review the transaction type, basis history, possible withholding, and relevant federal and North Carolina reporting. Mention moves between states while awards were outstanding. Ask a planner to connect any usable proceeds to household goals and remaining employer exposure. Keep confidential company materials in approved channels, and do not mistake preparation for assurance that a transaction will close.
